Watch the recording >CorpNordic Sweden AB, acting in its capacity as agent for the holders under the terms and conditions of the bonds, has on request of the issuer on 6 February 2015 convened the holders to a holders’ meeting and initiated a written procedure in which the holders can approve or reject a proposal for restructuring of the notes made by the issuer. The proposal involves, among other things, an extension of the final maturity date of the notes from 29 June 2015 to 31 August 2017 and the election of a holders’ committee to represent the holders.
The meeting will be held on 26 February 2015 at 14:00 (CET) at the offices of Mannheimer Swartling, Norrlandsgatan 21, Stockholm, Sweden. Registration starts at 13:30 (CET). Holders that would like to participate in the meeting must submit notice of their attendance no later than 19 February 2015.
As an alternative to attending and voting at the meeting, holders may vote on the proposal to amend and restate the terms and conditions in a written procedure by submitting a written resolution voting form. Please note that members of the holders’ committee will be appointed at the meeting and that it is not possible to vote on the election of members of the holders’ committee in the written procedure. The last time and date to vote in the written procedure is 17:00 (CET) on 24 February 2015.
To be eligible to participate in the holders’ meeting or in the written procedure a holder must fulfill the formal requirements of being a Holder (as defined in the terms and conditions of the bonds) at the close of business on 13 February 2015.
The formal notice of the meeting and written procedure has been sent by ordinary mail to direct registered holders and registered authorized nominees in accordance with the terms and conditions of the notes.
