Watch the recording >Intertrust (Sweden) AB, acting in its capacity as agent for the holders of the notes issued by Mobylife Holding A/S (the “Issuer”) with ISIN SE0005936382 (the “Notes”), under the terms and conditions of the Notes, initiated on 5 March 2018 a written procedure as requested by the Issuer, to amend the terms and conditions of the Notes to insert an early total redemption option for the Notes at a price of 120 SEK per 1,000 SEK of nominal amount of the Notes.
As announced by the Issuer on 28 March 2018 (see press release here), by way of the written procedure, the noteholders resolved to approve the Issuers’ proposal to include an early redemption option for the Notes at a price of 120 SEK per 1,000 SEK of nominal amount of the Notes.
The effectiveness of the request was, in addition to the noteholders’ approval of the request by way of written procedure, subject to the fulfilment of certain conditions as set out in the notice of the written procedure. As of today the conditions as set out under “Effectiveness of the Request” in the notice of the written procedure, have been fulfilled.
As of today, 28 March 2018 the amended and restated terms and conditions have become effective (the “Effective Date”). The amended and restated terms and conditions can be found here.
As of the Effective Date, in accordance with Clause 9.3 of the amended and restated terms and conditions, the Issuer shall exercise the mandatory total redemption at the latest 10 May 2018.
